Companies House changes

Company Law is changing and from 4th March 2024, Companies House is introducing a first round of requirements for UK companies.

From 4th March there are new rules about what address can be used for the registered office. Companies are expected to use an ‘appropriate address’ which is defined as one where:

  • Documents can be expected to come to the attention of the someone acting on behalf of the company

  • Documents sent to the address by recorded delivery can be acknowledged as delivered

In effect this means that companies will no longer be able to use a P.O. Box as their registered address.

From the same date there will be a requirement for companies to supply a registered email address. The email address will not be made public. It must be an address that is monitored.

Statement of lawful purpose

A statement will be required to say that the intended activities of the company are lawful.

Next Steps

For Co- Accounting clients with a registered address at our office in Parkhall, there no action is required as our address fulfils the new requirements. For anyone with a registered address that is a P.O. Box interested to transfer to Co- our service is £10/month.

At the time of the next confirmation statement we will be asking for clients to provide us with their registered email address.
